TERMS OF USE OF THE PLATFORMS

The Zonedge.com website, the Zonedge GIS application, the Zonedge Web application, the Zonedge Terrain application, and the platforms (collectively, the "Platforms") are the property of Zonedge Inc. ("Zonedge") and are intended to provide information about Zonedge, its business, its services, and its products, as well as to allow interaction with its clients. These Platforms include text, images, audio and video excerpts, software, graphics, interfaces, code, the selection and layout of content, and other elements (collectively, the "Content") provided by Zonedge or used under license by Zonedge, all for informational purposes only.
These Terms govern your use of all features of the Platforms, as provided by Zonedge. Please take the time to read these Terms of Use carefully, as they contain terms and conditions relating to your use of the Content, the Platforms, or your browsing thereof.
BY ACCESSING THE PLATFORMS OR DOWNLOADING THE CONTENT, YOU AGREE TO BE BOUND WITHOUT LIMITATION OR RESTRICTION, AND ARE DEEMED TO HAVE ACCEPTED THE RELEVANT TERMS OF USE (THE "TERMS"). IF YOU DO NOT AGREE TO THESE TERMS, WE ASK THAT YOU STOP BROWSING THE PLATFORMS AND LEAVE IMMEDIATELY. FURTHERMORE, SHOULD YOU FAIL TO COMPLY WITH THESE TERMS, ZONEDGE RESERVES THE RIGHT TO RESTRICT YOUR ACCESS TO THE PLATFORMS, WITHOUT PRIOR NOTICE AND WITHOUT PREJUDICE TO ANY OTHER RIGHTS THAT ZONEDGE MAY CLAIM OR EXERCISE.
1. USE OF THE WEBSITE
The purpose of the Platforms is to facilitate the dissemination of general information about the products and services offered by Zonedge in the normal course of its business and to initiate contact between Zonedge and its clients. In this regard, you may consult it, subject to what is described below, and download and print certain portions of it.
The information found on the Platforms and the Content is provided for informational purposes only and is provided to you "as is" and as available. Zonedge makes no representation or warranty as to the accuracy or completeness of the information on the Platforms or its Content.
In using the Platforms and the Content, you agree to the following:
Not to use the Platforms or the Content, or to allow or facilitate their use by any person, in a manner that would constitute or incite the commission of a criminal act, a civil offence, or a violation of intellectual property rights, or in a manner that would violate any law or regulation or disrupt Zonedge's operations;
Not to use the Platforms or the Content, or to allow or facilitate their use by any person to post any Content that, in the opinion of a reasonable person, constitutes an invasion of a person's privacy, an infringement of a person's physical or moral integrity, or constitutes defamatory, abusive, racist, violent, hateful, or intimidating content, and not to post on the Platforms any content that is profane, insulting, or homophobic, or that is offensive to any religion or spiritual belief, or that constitutes an attack against any particular person or group of persons;
Not to use the Platforms or the Content, or to allow or facilitate their use by any person, without reading and accepting the terms of any separate license agreement or terms provided by Zonedge, including the other provisions of these Terms;
Not to allow an employee, supplier, agent, or representative of Zonedge to make any statement or gesture constituting harassment or abuse, whether verbal, written, or otherwise;
Not to create or participate in the creation of a website that reproduces, in whole or in part, the Platforms, the Content, or any Zonedge trademark;
Not to use the Platforms or the Content, or to allow or facilitate their use by any person to transmit any communication that, in the opinion of a reasonable person, constitutes advertising, a commercial offer, spam, or any form of solicitation;
Not to use the Platforms or the Content, or to allow or facilitate their use by any person to post Content that a reasonable person could consider crude, obscene, indecent, vulgar, sexual in nature, or contrary to good morals;
Finally, you acknowledge that you are solely responsible for ensuring that your systems are capable of using the Platforms. IT IS RECOMMENDED THAT YOU USE AND UPDATE ANTIVIRUS SOFTWARE, ANTI-SPYWARE SOFTWARE, AND FIREWALLS ON ANY SYSTEMS USED TO ACCESS THE PLATFORMS.
2. RATES AND CONDITIONS OF SALE
Zonedge's services are billed in accordance with the applicable rates and are advertised on the Platforms according to the services you request.
All rates advertised on the website are in Canadian dollars, before taxes. Where applicable, the purchase amount is payable in full in a single payment at the time services are requested, or in monthly installments if Zonedge issues an invoice for services provided during the previous month, in which case fees will be payable within the period indicated on the invoice.
3. MONITORING
In order to provide you with quality content on the Platforms, Zonedge reserves the right to monitor any Content you post there, if applicable, to ensure compliance with these Terms of Use. You hereby consent to such monitoring.
Notwithstanding the foregoing, Zonedge makes no representation that the Platforms will be monitored for compliance with these Terms, nor that it will make any statement in the event of a disagreement regarding these Terms.
4. COOKIES
Cookies are small text files transferred by a web server onto the hard drive of a Platform user. Zonedge uses cookies on its Sites, notably to keep track of the locations you have searched for and to allow you to quickly return to them on your next visit to the Platforms.
No other information is collected through the use of these features. However, these cookies do not collect any personal information about the person using them.
You can configure your browser to accept cookies, to notify you before accepting them, or to refuse them. If you refuse cookies, please note that certain features of the Platforms, such as saving your preferences, may not be available.
5. TERMS AND CONDITIONS RELATING TO CONTENT
5.1 The Content of the Platforms Does Not Reflect Zonedge's Opinion
The opinions, comments, or positions contained on the Platforms represent only the opinions or positions of their authors and should never be interpreted as those of Zonedge or its third-party suppliers. You acknowledge that Zonedge and its third-party suppliers cannot be held liable and therefore have no responsibility for any Content generated by a user of the Platforms, including, in particular, any defamatory, hateful, or otherwise offensive Content, regardless of whether such content violates these Terms.
5.2 Removal of Content Not Compliant with These Terms
Zonedge reserves the right to remove, at its sole discretion, any Content it deems contrary to these Terms or to the spirit of these Terms, without notice.
6. USER CONDUCT
6.1 Hacking and Reverse Engineering
You agree not to breach or damage the Platforms. In particular, you agree not to overload, disrupt, hack, modify the source code of the Platforms, or reverse engineer the Platforms or any related software. Furthermore, you agree not to interfere with the use of the Platforms by other users.
6.2 Access to the Platforms
You agree to access the Platforms only through the http protocol using a web browser. You agree not to attempt to access Zonedge's servers by any means whatsoever, including through use of the Administrator account. You also agree not to expose or allow the use of any Content on the Platforms that is not publicly accessible.
6.3 Personal Use Only
Use of and browsing on our website is for your personal use only. You are strictly prohibited from impersonating a third party by using, creating an account on, or browsing our Site. You agree not to open more than one account on the Platforms.
6.4 Collection of Information
You agree not to use any automated or manual process, software, or other means to access, collect information from, browse, or otherwise scan the Platforms.
6.5 Use of the Platforms for Authorized Purposes Only
You agree not to use the Platforms for any other purpose, commercial or otherwise, not expressly authorized under these Terms.
7. INTELLECTUAL PROPERTY
7.1 License Granted by Zonedge
By browsing the Platforms, we grant you a limited, non-exclusive license to the Content, allowing you to display and print it for your personal, non-commercial purposes, as well as to share it on various social networks, provided that you agree not to modify the Content in any way. Any other use of the Content is prohibited, including any use contrary to what is set out in Section 1 above. The Content may not be reproduced, reused, or republished in any manner or form, except to the extent permitted by these Terms, without Zonedge's prior written consent.
7.2 Trademarks
All Content on the Platforms belongs to Zonedge or to the owner identified by Zonedge and is protected by applicable law, including copyright law. You may not copy, reproduce, publish, republish, transmit, or otherwise use any of it without our prior written consent, other than in accordance with these Terms.
Furthermore, all trademarks, whether registered or not, and all trade names contained on this Site belong to Zonedge or to the holder who has validly granted a license for their use.
8. THIRD-PARTY WEBSITES
8.1 Terms of Use and Privacy Policy
You acknowledge that the Platforms may use third-party websites, including Facebook, Twitter, and Instagram. These websites are governed by their own terms of use, which neither replace nor waive these Terms.

You acknowledge that Zonedge has no knowledge of these policies and cannot provide any recommendation or opinion regarding their content.
8.2 Links
Our website may contain links to other websites belonging to third parties. In this regard, you acknowledge that Zonedge has no control over these sites, and you acknowledge that it has not reviewed the entirety of the content available on the linked sites within the Platforms' Content. Accordingly, Zonedge disclaims all liability for any content on sites over which it has no control. By accessing a website through a link within the Platforms' Content, you do so at your own risk.
Finally, you acknowledge that the inclusion of such links does not imply that Zonedge endorses any brands, trade names, designs, logos, symbols, or other copyrighted elements published there, or that Zonedge is affiliated or associated with them, or that Zonedge is legally authorized to use them.
9. INDEMNIFICATION
To the extent permitted by law, in the event of a third-party claim against Zonedge or its representatives or agents arising, directly or indirectly, from your breach of these Terms, you agree to defend Zonedge and to hold it harmless from any loss related to such claims, including legal fees.
10. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
ZONEDGE STRIVES TO PROVIDE THE PLATFORMS IN A SECURE, ERROR-FREE, AND DEFECT-FREE ENVIRONMENT. HOWEVER, YOU AGREE THAT YOUR USE OF THE PLATFORMS AND YOUR ACTS OR OMISSIONS BASED ON THE INFORMATION PROVIDED ON THE PLATFORMS ARE AT YOUR OWN RISK. ZONEDGE PROVIDES THE PLATFORMS "AS IS," WITHOUT ANY EXPRESS OR IMPLIED WARRANTY, INCLUDING IMPLIED WARRANTIES OF ERROR-FREE INFORMATION. THERE IS ALSO NO WARRANTY THAT THE PLATFORMS ARE ERROR-FREE OR THAT THEY WILL ALWAYS FUNCTION WITHOUT INTERRUPTION, DELAY, OR IMPERFECTION. TO THE EXTENT PERMITTED BY LAW, ZONEDGE ASSUMES NO LIABILITY TO YOU OR TO ANY OTHER PERSON FOR ANY LOSSES OR DAMAGES OF ANY KIND, INCLUDING SPECIAL OR CONSEQUENTIAL DAMAGES, THAT YOU MAY SUFFER, DIRECTLY OR INDIRECTLY, FROM THE USE OR OPERATION OF THIS PLATFORM, OR OF ANY INFORMATION APPEARING THEREON, OR FROM YOUR ACTS OR OMISSIONS BASED ON ANY INFORMATION PROVIDED ON THE PLATFORM OR THE CONTENT OF THIS PLATFORM OR ANY OTHER PLATFORM ACCESSIBLE VIA THIS PLATFORM.
11. GENERAL PROVISIONS
11.1 Failure to Act
Zonedge's failure or delay in exercising any right, remedy, or privilege under these Terms does not constitute a waiver of that right, remedy, or privilege. Similarly, Zonedge is in no way prevented from subsequently exercising any right, remedy, or privilege that it did not previously exercise, in whole or in part.
11.2 Governing Law
These Terms, their interpretation, performance, enforcement, validity, and effects are governed by the laws in force in the Province of Quebec and the laws of Canada applicable in the Province of Quebec, governing in whole or in part all the provisions they contain. To the extent permitted by law, any claim, direct or indirect, arising under these Terms will be subject to the exclusive jurisdiction of the courts of Quebec, to the exclusion of the courts of any other jurisdiction.
11.3
Zonedge reserves the right, at its sole discretion, to modify the Platforms, the Content, and these Terms at any time and without notice. When changes are made to the Terms, Zonedge undertakes to update the last updated date shown above. By continuing to browse the Platforms, you agree to be bound by these Terms, including any modifications thereto. Otherwise, your sole recourse is to stop using the Platforms.
